These Website Project Terms & Service Agreement ("Agreement") govern website design, development, consulting, and related services provided by A&E Venture LLC.
By engaging A&E Venture LLC for services, the client agrees to the terms outlined below.
Project Scope
Each project is based on the agreed proposal, estimate, invoice, or written scope of work.
Any services, features, pages, integrations, or revisions not specifically included in the agreed scope may require additional fees and timeline adjustments.
Client Responsibilities
To ensure timely project completion, the client agrees to provide:
- Logos
- Images
- Branding materials
- Website content
- Access credentials
- Feedback and approvals
- Other requested materials
in a timely manner.
Project timelines may be delayed if required materials are not provided.
Website Content
Unless otherwise agreed in writing:
- Client is responsible for supplying website content.
- A&E Venture LLC may assist with content creation, editing, or AI-assisted content generation when included in the project scope.
- Client is responsible for reviewing and approving all content before publication.
Revisions
Each project includes a reasonable number of revisions based on the agreed scope of work.
Minor revisions may include:
- Text updates
- Image replacements
- Layout adjustments
- Styling refinements
Major revisions may include:
- Page redesigns
- Structural changes
- New functionality
- Additional pages
Major revisions may require additional fees and timeline adjustments.
Any revisions requested after final project approval and website launch may be billed separately unless covered under a separate maintenance or support agreement.
Project Timeline
Estimated completion dates are based on:
- Timely communication
- Client feedback
- Delivery of required materials
- Third-party platform availability
Delays caused by the client may result in timeline extensions.
Communication & Approvals
Client approvals provided through email, text message, project management software, or other written communication may be considered final approval for project milestones.
Website Launch
Prior to launch:
- Client will have the opportunity to review the website.
- Client is responsible for reviewing content accuracy.
- Client approval indicates acceptance of the website as delivered.
After launch, additional changes may be billed separately unless covered by an ongoing support agreement.
A&E Venture LLC recommends maintaining regular website updates, security monitoring, backups, and performance reviews after launch to help protect and support your online presence.
Many clients choose A&E Venture LLC for these ongoing maintenance services to keep their website secure, updated, and performing at its best after launch.
Hosting & Third-Party Services
Unless otherwise stated:
- Hosting fees are separate from website design fees.
- Domain registration fees are separate from website design fees.
- Third-party software subscriptions are the responsibility of the client.
Examples may include:
- Hosting providers
- Email platforms
- CRM systems
- Scheduling tools
- Analytics services
- Premium plugins
- Third-party integrations
Search Engine Optimization
A&E Venture LLC follows SEO best practices where applicable.
However, no guarantees are made regarding:
- Search rankings
- Traffic volume
- Lead generation
- Revenue growth
- Keyword performance
Search engine results depend on many factors beyond our control.
Ownership
Upon full payment:
- The client owns the completed website design and content created specifically for the project unless otherwise stated.
- A&E Venture LLC retains ownership of proprietary systems, frameworks, templates, processes, and reusable development assets.
Portfolio Rights
Unless otherwise agreed in writing, A&E Venture LLC reserves the right to display completed projects in:
- Portfolio materials
- Website galleries
- Marketing materials
- Social media content
for promotional purposes.
Ongoing Support
Website projects include support through the completion and launch of the agreed scope of work.
Ongoing website updates, maintenance, content changes, enhancements, and support services are not included unless specifically outlined in a separate agreement.
Clients may choose to enroll in A&E Venture LLC's Monthly Website Maintenance Retainer for continued support, updates, and website management services.
Limitation of Liability
A&E Venture LLC shall not be liable for:
- Lost profits
- Lost business opportunities
- Data loss
- Third-party platform failures
- Hosting outages
- Search engine changes
- Security incidents outside our control
Liability shall be limited to the amount paid for services rendered.
Termination
Either party may terminate a project with written notice.
The client remains responsible for payment for all work completed up to the termination date.
Any unpaid balances become immediately due.
Acceptance
By purchasing services, submitting payment, signing a proposal, or engaging A&E Venture LLC for services, the client acknowledges and agrees to these terms.
